1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WagerTrust ("WagerTrust," "we," "us," or "our") governing your access to and use of the WagerTrust website at wagertrustgaming.com (the "Site"), our credit infrastructure platform, and any related services, applications, and tools (collectively, the "Services").
BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. If you do not agree to these Terms, you must not access or use our Services.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Site and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the modified Terms.
2. Eligibility and Account Registration

2.2 Prohibited Jurisdictions
Our Services are not available to individuals or entities located in, organized under the laws of, or ordinarily resident in:
- Jurisdictions where online gaming credit services are prohibited or restricted
- Countries subject to comprehensive economic sanctions by the United States, European Union, or United Nations
- Any jurisdiction where offering our Services would violate applicable law
You represent and warrant that you are not located in, under the control of, or a national or resident of any such prohibited jurisdiction.
2.3 Account Registration
Operators: Gaming operators must complete our operator registration process, which includes providing accurate business information and documentation, verifying gaming licenses and regulatory compliance, undergoing Know Your Customer (KYC) and Anti-Money Laundering (AML) verification, and executing our Operator Services Agreement.
Players: If you are a player using credit services facilitated through WagerTrust, your account may be created and managed by participating gaming operators in accordance with their terms of service.
2.4 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Using strong passwords and enabling two-factor authentication when available
We will not be liable for any loss or damage arising from your failure to protect your account credentials.
3. Description of Services

WagerTrust provides a credit infrastructure platform designed specifically for the regulated gaming industry. Our Services enable:

3.3 For Players

4. User Obligations and Prohibited Conduct

4.2 Prohibited Uses
You may not use our Services to:
- Engage in any illegal, fraudulent, or deceptive activity
- Violate any applicable gaming or financial regulations
- Facilitate money laundering, terrorist financing, or other financial crimes
- Manipulate, interfere with, or circumvent our credit risk assessment systems
- Access accounts, data, or systems without authorization
- Transmit viruses, malware, or other harmful code
- Attempt to reverse engineer, decompile, or discover our proprietary algorithms
- Scrape, harvest, or collect user information without authorization
- Use our Services if you are located in a prohibited jurisdiction
- Create multiple accounts to evade credit limits or restrictions
- Share or transfer your account to another person or entity
- Engage in gambling if you are prohibited by law or self-excluded
- Misrepresent your identity, location, or eligibility
4.3 Operator-Specific Obligations
- Maintain valid gaming licenses in all operating jurisdictions
- Implement adequate responsible gaming measures
- Comply with all KYC and AML requirements

- Protect player information in accordance with applicable privacy laws
- Cooperate with regulatory investigations and audits
- Maintain adequate financial resources and insurance coverage
- Immediately report security incidents or data breaches
4.4 Responsible Gaming
If you are a player using credit services:
- You acknowledge that gambling involves financial risk and may lead to addiction
- You agree to gamble responsibly and within your financial means
- You will utilize voluntary limit tools and self-exclusion mechanisms as needed
- You understand that credit facilities are subject to approval and monitoring
- You will seek help if you develop gambling problems
5. Credit Services and Financial Terms
5.1 Credit Assessment and Approval
- Credit decisions are made in real-time using proprietary risk assessment algorithms
- Credit approval is not guaranteed and may be declined based on risk factors
- Credit limits are determined based on multiple factors including financial capacity, gambling behavior, and responsible gaming indicators
- We reserve the right to adjust, suspend, or terminate credit facilities at any time
5.2 Cross-Platform Monitoring
By using our Services, you acknowledge and agree that:
- We aggregate your gambling activity across all participating operators
- This information is used to assess credit risk and enforce responsible gaming controls
- Credit limits apply to your total exposure across the entire network
- Reaching limits on one operator may affect credit availability on other operators
5.3 Fees and Charges
For Operators:
- Fees for our Services are set forth in your Operator Services Agreement
- We may charge transaction fees, platform fees, or revenue-sharing arrangements
- Fees may be adjusted with reasonable notice as specified in your agreement
For Players:
- Players do not pay direct fees to WagerTrust
- Credit terms, interest rates, and fees are determined by the credit provider and disclosed through the gaming operator
- You are responsible for all applicable taxes on credit transactions
5.4 Payment and Settlement
- Gaming operators are responsible for timely payment of all fees owed to WagerTrust
- Credit settlements between players and credit providers are governed by separate credit agreements
- We facilitate payment processing but are not a party to the underlying credit relationship
6. Intellectual Property Rights
6.1 WagerTrust Intellectual Property
All content, features, and functionality of our Services, including:
- Software, algorithms, and technology
- Trademarks, logos, and branding
- Text, graphics, images, and design elements
- Data structures and databases
- Documentation and user interfaces
...are owned by WagerTrust or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use our Services for their intended purpose
- Use our APIs and integration tools in accordance with our documentation
- Display our trademarks solely to indicate integration with our Services (operators only)
This license does not permit you to:
- Copy, modify, or create derivative works of our Services
- Distribute, sell, or sublicense our Services
- Remove or alter any copyright, trademark, or proprietary notices
- Use our intellectual property for any purpose not expressly authorized
6.3 Operator and User Content
Gaming operators retain ownership of data and content they submit to our Services, subject to the licenses granted in these Terms. By submitting content, you grant us a worldwide, royalty-free license to use, process, and analyze such content to provide and improve our Services.
6.4 Feedback
If you provide feedback, suggestions, or ideas about our Services, you grant us an unrestricted, perpetual, irrevocable license to use such feedback without compensation or attribution.
7. Data Protection and Privacy
7.1 Data Processing
Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.
7.2 Gaming Data

Gaming operators using our Services remain responsible for:
- Obtaining and maintaining all required licenses
- Complying with all gaming regulations in operating jurisdictions
- Implementing responsible gaming measures
- Age verification and player eligibility checks
- Reporting to gaming regulators as required
8.2 Financial Regulations
All parties must comply with:
- Anti-Money Laundering (AML) laws and regulations
- Know Your Customer (KYC) requirements
- Sanctions and export control laws
- Payment services and electronic money regulations
- Consumer credit regulations where applicable
8.3 Regulatory Cooperation
You agree to:
- Cooperate with regulatory investigations and audits
- Provide information and documentation as requested by regulators
- Allow regulators access to our platform for compliance purposes

8.4 Suspicious Activity Reporting

We may suspend or terminate accounts pending investigation without prior notice.

9.2 Player Protections
Players using credit through our platform benefit from:

- Ability to set binding limits that cannot be increased immediately

9.3 Self-Exclusion

10. Disclaimers and Limitations of Liability
10.1 Service Availability
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- Our Services will be uninterrupted, secure, or error-free
- Defects will be corrected
- Our Services are free from viruses or harmful components
- Results obtained from our Services will be accurate or reliable
10.2 No Credit Guarantee
WE DO NOT GUARANTEE CREDIT APPROVAL OR SPECIFIC CREDIT TERMS. Credit decisions are made by credit providers based on multiple factors. We facilitate credit assessment but do not extend credit directly.
10.3 Third-Party Services
Our Services may integrate with third-party services (payment processors, data providers, gaming operators). We are not responsible for the availability, accuracy, or reliability of third-party services.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Gambling losses or credit defaults
- Reputational harm
- Service interruptions or delays
- Unauthorized access to accounts
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED:
- For operators: The fees paid to WagerTrust in the 12 months preceding the claim
- For players: $100 USD or the equivalent in your local currency
10.5 Exceptions
Some jurisdictions do not allow certain warranty exclusions or liability limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10.6 Force Majeure
We are not liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, acts of terrorism, government actions, network failures, cyberattacks, pandemics, or labor disputes.
11. Indemnification
11.1 Operator Indemnification
Gaming operators agree to indemnify, defend, and hold harmless WagerTrust, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Your gaming operations or player relationships
- Disputes with players or regulatory actions
- Your negligence or willful misconduct
- Third-party claims related to your use of our Services
11.2 User Indemnification
All users agree to indemnify WagerTrust from claims arising from:
- Your unauthorized or prohibited use of our Services
- Your violation of intellectual property rights
- Your submission of false or misleading information
- Your breach of these Terms
11.3 Defense and Settlement
We reserve the right to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense and may not settle any claim without our written consent.
12. Dispute Resolution and Governing Law
12.1 Governing Law
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.
12.2 Jurisdiction and Venue
Subject to the arbitration provisions below, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of such courts.
12.3 Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Mandatory Arbitration: Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved through binding arbitration rather than in court.
Arbitration Rules: Arbitration shall be conducted by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration Rules and Procedures. The arbitration shall take place in Las Vegas, Nevada, or remotely via videoconference.
Exceptions: The following are not subject to arbitration:
- Small claims court actions (where jurisdictional limits are met)
- Injunctive or equitable relief to protect intellectual property rights
- Regulatory or governmental actions
- Self-regulatory organization proceedings
Class Action Waiver: YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.
Opt-Out: You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to: legal@wagertrustgaming.com with subject line "Arbitration Opt-Out."
12.4 Informal Dispute Resolution
Before initiating arbitration or court proceedings, parties agree to first attempt to resolve disputes informally by contacting:

12.5 Regulatory and Gaming Disputes
Disputes involving gaming regulations may be subject to regulatory dispute resolution processes. Gaming operators remain subject to regulatory jurisdiction in their operating territories.
13. Term and Termination
13.1 Term
These Terms commence when you first access our Services and continue until terminated by either party.
13.2 Termination by You
You may terminate your account at any time by:
- Providing written notice to support@wagertrustgaming.com
- Following account closure procedures in your account settings
- Satisfying all outstanding obligations before closure
13.3 Termination by Us
We may suspend or terminate your access immediately, without prior notice, if:
- You violate these Terms or applicable laws
- Your account is used for fraudulent or illegal activity
- Regulatory authorities require suspension or termination
- You fail to pay fees or charges owed
- You are located in a prohibited jurisdiction
- Continuing to provide Services would create legal or regulatory risk
- We cease operations or discontinue Services
13.4 Effect of Termination
Upon termination:
- Your right to access and use our Services immediately ceases
- Outstanding fees and obligations remain due and payable
- We may delete your account data after applicable retention periods
- Provisions of these Terms that by their nature should survive will survive, including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution
13.5 Data After Termination
Following termination, we will:
- Retain data as required by law or regulation (typically 7 years for financial data)
- Delete or anonymize data that is no longer required
- Provide data export capabilities where legally required
14. Additional Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Operator Services Agreement, constitute the entire agreement between you and WagerTrust regarding our Services and supersede all prior agreements and understandings.
14.2 Amendments
We may modify these Terms at any time. Material changes will be communicated via:
- Email notification to registered users
- Prominent notice on our Site
- In-app notifications
Your continued use of our Services after changes are posted constitutes acceptance. If you do not agree to modified Terms, you must discontinue use of our Services.
14.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.4 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Waivers must be in writing and signed by authorized representatives.
14.5 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with mergers, acquisitions, or asset sales.
14.6 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and WagerTrust.
14.7 Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights except as expressly stated.
